This article presents a study of theoretical management aspects in organizational change in the context of higher education institutions in Venezuela. In the first place it proposes resistance to change, both individual and organizational. In the second place, manners to overcome resistance to change, management models to administrate such a process, and the complexity of universities are discussed. The conclusion is that the present economic, political, social and cultural dynamic of the country requires that university institutions adopt a process of review and administrative re-organization, the principal objectives of which would be to direct the establishment of an efficient functional organization that simplifies the decision-making process, improves follow-up processes and administrative evaluation and control, without forgetting the academic environment. All of this requires a new state-society-university relation where management theories based on organizational change are key to the process.
